1. General Provisions and Definitions

This Terms of Service and Acceptable Use Policy (hereinafter collectively referred to as the "Terms") constitutes a legally binding agreement between DenyBots Secure Hosting, a company registered under the laws of Estonia (hereinafter "DenyBots," "Service Provider," "we," "our," or "us") and any natural or legal person who accesses or uses our webhosting, domain registration, and related services (hereinafter "Services") accessible via Denybots.com (hereinafter "User," "you," or "your").

By accessing, registering for, or using our Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to all the provisions contained herein, you must not access or use our Services. DenyBots reserves the right to update or modify these Terms as needed. While minor changes may be implemented immediately, material changes affecting your rights and obligations will be communicated to you at least 14 days prior to implementation through appropriate channels such as email or account notification. Your continued use of the Services following any such changes constitutes your acceptance of the revised Terms.

2. Service Description and Subscription

2.1 Service Provision. DenyBots provides webhosting, domain registration, and related technical services as described on our website. The specific features, technical specifications, and limitations of each service package shall be as specified on our website at the time of purchase or as subsequently modified in accordance with these Terms.

2.2 Service Availability. While DenyBots endeavors to maintain high levels of service availability, we do not guarantee uninterrupted access to our Services. Temporary unavailability due to maintenance, system upgrades, technical issues, force majeure events, or factors beyond our reasonable control shall not constitute a breach of these Terms.

2.3 Technical Support. Technical support is provided according to the specifications of the purchased service package. Response times are to be understood as targets rather than guarantees. Complex technical issues may require extended resolution timeframes.

2.4 Subscription Term. Service subscriptions commence upon activation and continue for the period specified in the order confirmation. Unless otherwise specified or terminated pursuant to these Terms, subscriptions automatically renew for equivalent periods at the then-current rates.

3. User Account and Security

3.1 Account Creation. To use certain Services, you may be required to create an account. You agree to provide accurate, complete, and current information during the registration process and to update such information to keep it accurate, complete, and current.

3.2 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify DenyBots of any unauthorized use of your account or any other breach of security.

3.3 Account Termination. DenyBots reserves the right to temporarily suspend or permanently terminate your account and access to Services if, in our sole discretion, you violate any provision of these Terms, engage in fraudulent activity, or if your continued use of the Services poses a security risk.

4. User Obligations and Prohibited Activities

4.1 Compliance with Laws. You agree to use the Services in compliance with all applicable local, state, national, and international laws, rules, and regulations. Without limiting the foregoing, you specifically agree not to use the Services to:

• Infringe upon or violate the intellectual property rights or any other rights of others;
• Violate any applicable laws or regulations regarding the transfer of technical data;
• Interfere with or disrupt networks connected to the Services;
• Attempt to gain unauthorized access to any account, computer system, or network;
• Transmit any material that contains viruses, trojan horses, worms, or any other harmful or destructive programs;
• Engage in activities that would subject DenyBots to civil or criminal liability;
• Use the Services in connection with illegal peer-to-peer file sharing;
• Distribute unsolicited commercial messages ("spam");
• Host, distribute, or link to child sexual abuse material or content that is unlawful, threatening, abusive, harassing, defamatory, or otherwise objectionable as determined by DenyBots in its sole discretion.

4.2 Resource Usage. You agree not to use the Services in a manner that consumes excessive system resources or network capacity beyond the fair usage parameters associated with your service package, as determined by DenyBots in its sole discretion.

4.3 Content Responsibility. You are solely responsible for all content stored, transmitted, or made available via your account ("User Content"). DenyBots does not claim ownership of User Content; however, you grant DenyBots a non-exclusive, worldwide, royalty-free license to use, reproduce, and display your User Content solely for the purpose of providing the Services to you.

5. Payment Terms and Billing

5.1 Fees and Payments. You agree to pay all fees associated with the Services as specified at the time of purchase. All fees are non-refundable unless otherwise expressly stated herein or required by applicable law. DenyBots reserves the right to change prices at any time, provided that for existing subscriptions, price changes will become effective upon the next renewal date.

5.2 Payment Methods. DenyBots accepts various payment methods as specified on our website. You authorize DenyBots to charge your chosen payment method for all fees associated with your use of the Services, including any renewable subscriptions, upgrades, or additional services you request.

5.3 Late Payments. If payment cannot be processed on the due date, DenyBots reserves the right to suspend or terminate the Services. Reactivation of suspended services may incur additional fees. Outstanding balances are subject to statutory interest rates as applicable under Estonian law.

5.4 Taxes. Listed prices do not include taxes, levies, duties, or similar governmental assessments of any nature, including but not limited to value-added, sales, use, or withholding taxes, assessable by any jurisdiction (collectively, "Taxes"). You are responsible for paying all Taxes associated with your purchase of Services.

6. Intellectual Property Rights

6.1 DenyBots Property. All content, features, and functionality of the Services, including but not limited to the design, text, graphics, interfaces, code, software, and selection and arrangement thereof (collectively, "DenyBots Content"), are owned by DenyBots, its licensors, or other providers and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

6.2 License to Use. Subject to your compliance with these Terms, DenyBots grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and DenyBots Content solely for the purpose of using the Services as permitted by these Terms.

6.3 Feedback. If you provide DenyBots with any feedback, suggestions, or ideas regarding the Services ("Feedback"), you hereby grant DenyBots a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, disclose, sublicense, distribute, modify, and otherwise exploit such Feedback without restriction or obligation of any kind to you.

7. Limitation of Liability and Indemnification

7.1 Disclaimer of Warranties. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DENYBOTS DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

7.2 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DENYBOTS, ITS DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE OUR LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY LAW.

7.3 Cap on Liability. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, DENYBOTS'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO DENYBOTS FOR THE SERVICES DURING THE TWELVE (12) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.

7.4 Indemnification. You agree to defend, indemnify, and hold harmless DenyBots, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party. This defense and indemnification obligation will survive these Terms and your use of the Services.

8. Service Termination and Suspension

8.1 Termination by User. You may terminate your subscription at any time by providing notice to DenyBots through the methods specified on our website. Termination will be effective at the end of the current billing period unless otherwise specified. No refunds will be issued for unused portions of the current billing period unless required by applicable law.

8.2 Termination or Suspension by DenyBots. DenyBots reserves the right, in its sole discretion, to restrict, suspend, or terminate your access to all or any part of the Services at any time, with or without prior notice, if we determine that you have violated these Terms or if your use of the Services poses a security risk, could subject DenyBots to liability, or otherwise interferes with the normal operation of our systems or Services.

8.3 Effects of Termination. Upon termination or expiration of your subscription for any reason: (i) all rights granted to you under these Terms will immediately cease; (ii) you must cease all use of the Services; and (iii) any fees accrued before the date of termination will remain due and payable. DenyBots may, but is not obligated to, delete any of your User Content following termination or expiration of your subscription.

9. Backup and Data Loss

9.1 Backups. While DenyBots may perform periodic backups of the hosting environment as part of our internal procedures, such backups are not guaranteed and are primarily for system recovery purposes. You are solely responsible for maintaining appropriate backups of your User Content.

9.2 Data Loss. DenyBots shall not be liable for any loss of data, regardless of the cause, including but not limited to system failures, data corruption, or unauthorized access. You acknowledge that it is your responsibility to implement appropriate data protection measures.

10. Domain Registration

10.1 Domain Registration Services. If you register, renew, or transfer a domain name through DenyBots, you agree to be bound by the terms and conditions of the relevant domain name registrar or registry, in addition to these Terms.

10.2 No Guarantee of Availability. DenyBots does not guarantee the availability of any domain name until such time as we confirm the registration has been completed and the domain appears in the appropriate WHOIS database.

10.3 Domain Renewal. You are solely responsible for ensuring timely renewal of your domain names. While DenyBots may send courtesy renewal notices, we assume no responsibility for renewal failures due to communication issues, payment problems, or any other reason.

11. Force Majeure

DenyBots shall not be liable for any failure or delay in performance under these Terms to the extent said failures or delays are caused by conditions beyond our reasonable control, including but not limited to natural disasters, terrorism, strikes, government actions, war, civil disorder, fire, power failures, internet disruptions, or denial of service attacks.

12. Miscellaneous

12.1 Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without the prior written consent of DenyBots. DenyBots may assign these Terms, in whole or in part, at any time with or without notice to you.

12.2 Entire Agreement. These Terms, together with the Privacy Policy and any additional terms incorporated by reference, constitute the entire agreement between you and DenyBots regarding your use of the Services and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral, concerning the subject matter of these Terms.

12.3 Severability. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of these Terms will remain in full force and effect.

12.4 No Waiver. No failure or delay by DenyBots in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.

12.5 Governing Law and Jurisdiction. These Terms shall be governed by and construed in accordance with the laws of Estonia, without regard to its conflict of law provisions. Any legal proceedings arising out of or relating to these Terms or your use of the Services shall be brought exclusively in the courts located in Tallinn, Estonia, and you hereby consent to the personal jurisdiction and venue of such courts.

12.6 Survival. The provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
